Terms of Service

Effective May 8, 2026

These Terms of Service (“Terms”) govern your use of the LocalVibes mobile application (the “App”) and our website (the “Site”), operated by MCH Ventures (“LocalVibes”, “we”, “our”). By creating an account or otherwise using the App or Site, you agree to these Terms.

Eligibility

You must be at least 17 years old and able to form a binding contract to use LocalVibes. By using the App or Site you represent that you meet these requirements.

Your account

• You are responsible for keeping your account credentials confidential and for activity under your account.
• You agree to provide accurate registration information and keep it up to date.
• You may delete your account at any time via App Settings → Account → Delete Account.

Acceptable use

You agree not to:

• Post content that is unlawful, harassing, defamatory, sexually explicit, hateful, or that incites violence.
• Impersonate any person or business, or misrepresent your affiliation with a venue.
• Submit false reviews, manufacture engagement, or otherwise manipulate the platform.
• Reverse engineer, decompile, scrape, or copy the App or Site, except as permitted by applicable law.
• Use the App or Site to send spam, malware, or unsolicited messages.
• Interfere with the integrity or performance of the App, Site, or its underlying infrastructure.

User-generated content

You retain ownership of the content you submit to LocalVibes (reviews, photos, crowd updates, etc.). By submitting content, you grant LocalVibes a worldwide, royalty-free, non-exclusive license to host, store, reproduce, modify, and display that content within the App and Site for the purpose of operating and promoting LocalVibes. You represent that you have all rights necessary to grant this license.

Reviews and venue accuracy

Reviews, crowd updates, and other content posted by users represent the views of those users, not LocalVibes. We do not verify the accuracy of user-submitted content. Venue information may be sourced from third parties (including Google Places); we do not guarantee its accuracy or completeness.

Subscriptions and payments

• Ad-free mobile subscription: billed through your Apple App Store or Google Play account. Subscriptions auto-renew until cancelled. Manage or cancel via your App Store or Google Play subscriptions screen.
• Business owner subscriptions: billed through Stripe. Business subscriptions auto-renew until cancelled. Manage via the LocalVibes business portal billing page.
• All fees are non-refundable except where required by law or explicitly stated in a refund offer.

Termination

We may suspend or terminate your account if you violate these Terms, if your account creates risk or possible legal exposure for LocalVibes, or for any other reason at our discretion. You may terminate your account at any time. On termination, your right to use the App and Site immediately ceases.

Disclaimers

The App and Site are provided “as is” without warranties of any kind, express or implied. To the fullest extent permitted by law, LocalVibes disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the fullest extent permitted by law, LocalVibes will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of your use of the App or Site. Our total liability for any claim arising out of these Terms or your use of the App or Site is limited to the greater of (a) the amount you paid LocalVibes in the 12 months preceding the claim, or (b) USD 100.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Delaware, unless applicable consumer-protection laws require otherwise.

Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via in-App notification or email at least 14 days before they take effect. Continued use of LocalVibes after changes constitutes acceptance.
